Dropshipping Agreement

Effective as of August 1, 2025

This Dropshipping Agreement ("Agreement") is entered into by and between:

Dream Big Printables, a North Carolina-based company ("Supplier", "We", "Us", or "Our"),
and
any individual or business ("Dropshipper", "You", or "Your") who submits a dropshipper application and agrees to this Agreement by checking the box during the signup process.

1. Purpose

This Agreement governs the relationship between Supplier and Dropshipper, whereby Dropshipper markets and sells Supplier’s products under their own brand or storefront, and Supplier fulfills the orders by printing, packing, and shipping directly to the customer.

2. Order Fulfillment

  • Supplier will fulfill orders placed by Dropshipper in a timely and professional manner.

  • Processing time for standard orders is typically 1-3 business days.

  • Dropshipper agrees to provide accurate customer shipping details. Supplier is not responsible for delays or losses due to incorrect information.

3. Pricing & Payments

  • Supplier will provide Dropshipper with discounted dropship pricing. It is Dropshipper’s responsibility to set and collect retail pricing from their customers.

  • Payment for orders must be made at the time of purchase via credit card or approved payment method.

  • All pricing and discounts are confidential.

4. Returns, Exchanges & Damage Claims

  • As all products are custom-made to order, we do not accept returns or exchanges unless the item arrives damaged or there is a production error.

  • Damaged or incorrect items must be reported within 7 days of delivery with photo documentation.

  • We will reproduce or refund eligible claims at our discretion.

5. Branding & Packaging

  • Supplier offers white-label fulfillment. No branding from Supplier will appear on packaging unless otherwise agreed.

  • Custom inserts or branded packaging may be included for an additional fee with prior approval.

6. Sales Tax & Compliance

  • Dropshipper is responsible for collecting and remitting sales tax on retail sales unless they provide a valid reseller’s certificate.

  • If applicable, a valid resale certificate must be submitted before any tax-exempt purchases can be made.

7. Intellectual Property

  • All designs, mockups, templates, and materials provided by Supplier remain the intellectual property of Supplier and may not be reproduced, distributed, or altered without express written consent.

  • If Dropshipper provides original artwork or content, they affirm they have the legal right to use and sell the material.

8. Termination

  • Either party may terminate this Agreement at any time with written notice.

  • Supplier reserves the right to terminate or suspend Dropshipper's account for violations of this Agreement, abuse, non-payment, or any activity deemed harmful to our brand or customers.

9. Limitation of Liability

  • Supplier shall not be liable for lost profits or special, incidental, or consequential damages arising from any delays, errors, or omissions.

  • Maximum liability for any claim shall not exceed the amount paid by Dropshipper for the product in question.

10. Miscellaneous

  • This Agreement shall be governed by the laws of the State of North Carolina.

  • Any disputes arising from this Agreement shall be resolved in the appropriate courts of North Carolina.

  • This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or communications.

By signing up as a dropship partner, you agree to all terms and conditions in this Dropshipping Agreement.
